Terms and conditions

General Overview

  • These terms and conditions govern all work performed by Hawkeye LexiCraft, LLC (referred to as "I" or "the Editor") for the Client ("you").

  • Neither party is obligated to offer or accept work unless agreed upon in writing.

  • The Editor will provide services as outlined and agreed upon in writing by both parties.

  • The Editor will perform the work independently, at times and locations of the Editor’s choosing, and will use the Editor’s own equipment.

  • Hawkeye LexiCraft, LLC operates as an independent contractor, and neither the Editor nor the LLC is entitled to employee benefits, insurance, or legal protections afforded to employees under Wyoming or federal law.

  • The Editor guarantees that all work will be completed personally and will not be subcontracted without prior written consent.

Project Terms

Before any project commences, both the Client and the Editor will confirm in writing the following:

  • The method of markup to be used (e.g., Microsoft Word's Track Changes)

  • The number of editing passes to be conducted

  • The fee structure for the project, as detailed in a proposal provided by the Editor

  • The final deadline for submitting the manuscript to the Editor

  • The deadline by which the completed project will be returned to the Client

If the scope of the work proves to be substantially greater than originally anticipated based on the initial discussion or draft received, the Editor reserves the right to renegotiate the fee or the project timeline.

Requests for substantive revisions after the project has begun may extend the agreed timeline, and additional fees may apply.

Cost of Services

  • The Editor will provide a proposal outlining the cost based on the manuscript, timeline, and services agreed upon.

  • Fees may be calculated on a per-hour, per-word, or flat-fee basis, as mutually agreed in writing.

  • Should the Client request additional services or significantly alter the manuscript, a revised proposal and timeline will be negotiated. This also applies if the project requires significantly more work than initially represented by a sample or draft.

  • If the full project cost is not paid in advance, the Editor will issue a final invoice upon completion of the project. Payment is due within 15 days. A late fee of 1.5% of the outstanding balance will be applied every 30 days until full payment is received, up to the maximum amount allowed by Wyoming law. The completed project materials will only be delivered once the invoice is paid in full.

Reservation Process

  • A deposit of 50% of the total quoted amount is required to reserve time for the project. Projects totaling $750 or less must be paid in full in advance.

  • Once both parties agree to the project terms, the Client will submit a reservation form, which will serve as a binding contract for services.

  • Following submission of the reservation form, an invoice for the deposit will be issued via PayPal. Payment is due within 3 days of receipt, and the project slot will not be confirmed until the deposit is received.

  • The deposit will be deducted from the final invoice upon project completion.

Cancellation and Refund Policies

  • While the Editor strives to deliver manuscripts free of errors, perfection is not guaranteed. The Client is responsible for paying for the work completed.

  • In the event of cancellation by the Client:

    • More than 30 days before the project start date: The deposit will be refunded in full, and no additional fees will be charged.

    • Within 30 days of the project start date: The deposit will be non-refundable, but no further fees will be incurred.

    • After work has commenced: The Editor reserves the right to invoice for the full project fee, prorated based on the percentage of work completed at the time of cancellation.

  • Should unforeseen circumstances (e.g., serious illness or family emergencies) prevent the Editor from completing the project under previously agreed terms, the Editor will notify the Client in writing as soon as possible to renegotiate the deadline or explore alternative solutions. If work has already commenced, the Editor may invoice for the completed portion of the project, minus the refunded deposit.

  • Plagiarism: If plagiarism is identified in the Client’s manuscript, the Editor reserves the right to terminate the project immediately and will invoice for all work completed up to that point. If the work completed is less than the deposit amount, the full deposit will be retained. The Client agrees to indemnify and hold the Editor harmless in any legal disputes regarding plagiarism within the manuscript.

  • Content Disclosure: The Client must disclose any content in the manuscript that may be considered graphic, violent, or offensive (e.g., depictions of torture, abuse, sexual violence, or material that promotes discrimination based on race, gender identity, sexual orientation, disability, or creed). If this content is not disclosed upfront and the Editor is unable to proceed with the project due to its nature, the Editor reserves the right to terminate the agreement. The Client will be invoiced for any work already completed.

  • Both the Client and the Editor retain the right to cancel the contract in the event of a significant breach of its terms by the other party.

Copyright and Usage

  • Upon receipt of full payment for the final invoice, the Client will own all copyright to the materials created by the Editor, unless otherwise agreed in writing.

  • The content of the project will remain confidential and will not be disclosed to third parties without the Client’s written consent.

  • Unless specifically requested otherwise, the Editor reserves the right to include the Client’s name and project title in a portfolio or case study, with the assurance that no content from the project will be publicly shared.

After Project Completion

  • Any modifications made to the manuscript after it is returned to the Client will be done at the Client’s discretion and risk.

  • Use of the Editor’s services does not guarantee acceptance by agents, publishers, or any other entities.

  • The Editor’s work on the manuscript does not constitute an endorsement of its content or subject matter.

  • The Editor will not provide official reviews for the Client’s work, and any feedback provided cannot be used in promotional materials or endorsements.

  • Should the Client wish to acknowledge the Editor in the final work, the Editor reserves the right to review any mention before publication. The Editor also retains the right to decline being credited in the final publication.

Legal Jurisdiction

These terms and conditions shall be governed by, and construed in accordance with, the laws of the State of Wyoming. The Client irrevocably submits to the exclusive jurisdiction of the courts of Wyoming for any disputes arising from or related to these terms and conditions. Both parties agree to attempt good faith negotiation or mediation before resorting to litigation.
